These Terms of Service govern your use of the website https://buyoncebiz.store and the digital templates offered on it. The website is operated by Mohamed Essanhaji, Sole Proprietorship, trading as BuyOnceBiz, 1155 Vantassell St, Bathurst, NB E2A 4C7, Canada ("BuyOnceBiz", "we", "us", or "our").

By browsing the website or purchasing a product, you agree to these Terms. If you do not agree, please do not use the website. Purchases are also governed by our Terms of Sale, and our handling of your personal information is described in our Privacy Policy.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to purchase from BuyOnceBiz. If you buy on behalf of a business, you confirm that you have authority to accept these Terms on its behalf.

2. Our Products

BuyOnceBiz sells digital spreadsheet templates for Google Sheets and Microsoft Excel, in English and French, individually or as bundles called Vaults. All products are delivered electronically. Details of delivery are set out in our Shipping Policy.

We make every effort to describe our products and display preview images accurately. Preview images are illustrations; layouts and colours may look slightly different depending on your device and spreadsheet program.

3. Licence to Use Our Templates

3.1 What you may do

When you purchase a product, we grant you a non-exclusive, non-transferable, perpetual licence to:

  • use the templates for your own personal use or for the internal operations of your own business;
  • edit, customise, and add your own data to the templates; and
  • make copies for backup and for use by your own employees or team members within the same business.

3.2 What you may not do

You may not:

  • resell, sublicense, share publicly, give away, or distribute the templates, whether modified or unmodified;
  • upload the templates to marketplaces, template galleries, file-sharing sites, or shared drives accessible to people outside your business;
  • use the templates, or substantial parts of them, to create products for sale; or
  • remove any copyright notices included in the files.

Consultants and accountants may use a template to prepare work for a client, but each client who wants to keep and use the template themselves must purchase their own licence.

4. Intellectual Property

All content on the website and in our products, including templates, formulas, layouts, designs, text, graphics, the BuyOnceBiz name, and the BuyOnceBiz logo, is owned by Mohamed Essanhaji or used under licence, and is protected by copyright and other intellectual property laws. Your purchase gives you a licence to use the templates as described in Section 3; it does not transfer ownership of the underlying intellectual property.

5. Third-Party Software

Our templates require Google Sheets or Microsoft Excel, which are provided by third parties. BuyOnceBiz is not affiliated with, endorsed by, or sponsored by Google LLC or Microsoft Corporation. You are responsible for having a compatible version of the software and any account it requires. We are not responsible for changes to third-party software that affect how a template works, although we will make reasonable efforts to help.

6. Not Professional Advice

Our templates are organisational tools. They do not provide financial, accounting, tax, legal, payroll, or investment advice. Calculations depend on the data you enter, and you are responsible for checking the accuracy of your results. For decisions about taxes, payroll, financing, or legal obligations, consult a qualified professional.

7. Acceptable Use

When using the website, you agree not to:

  • break any applicable law or infringe the rights of others;
  • attempt to gain unauthorised access to the website, our systems, or other customers' information;
  • introduce viruses, malicious code, or anything that could harm the website;
  • use automated tools to scrape or copy the website or its content; or
  • make fraudulent purchases or misuse refund or payment dispute processes.

8. Disclaimer of Warranties

Except as stated in our Return and Refund Policy and to the fullest extent permitted by law, the website and products are provided "as is" and "as available". We do not guarantee that the website will always be available or error-free, or that the templates will meet every specific requirement of your business. Nothing in these Terms excludes any guarantee or right you have under the consumer-protection law that applies to you.

9. Limitation of Liability

To the fullest extent permitted by law, BuyOnceBiz will not be liable for any indirect, incidental, special, or consequential losses, including lost profits, lost data, or business interruption, arising from your use of the website or products. Our total liability for any claim relating to a product is limited to the amount you paid for that product.

These limits do not apply to liability that cannot be limited or excluded by law, such as liability for fraud, gross negligence, or wilful misconduct, or to your mandatory statutory rights as a consumer.

10. Indemnification

You agree to compensate BuyOnceBiz for any claims, losses, or expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the templates, including unauthorised distribution. This section does not apply to consumers where the law does not allow it.

11. Links to Other Websites

The website may contain links to third-party websites. We do not control them and are not responsible for their content or privacy practices.

12. Suspension and Termination

We may suspend or end your access to the website, or end your licence to use the templates, if you seriously breach these Terms, for example by redistributing our products. Sections 4, 6, 8, 9, 10, and 13 continue to apply after termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada that apply there. Any dispute will be handled by the courts of New Brunswick, unless the law of your country gives you the right to bring a claim in your local courts.

If you are a consumer in the European Union, you also benefit from the mandatory protections of the law of your country of residence, and you may bring a claim in the courts of that country. Information on online dispute resolution is available in our Legal Notice.

Before starting any formal proceedings, please contact us so we can try to resolve the issue informally.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new date. Changes do not affect purchases already completed.

15. General

If any part of these Terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any right does not waive it. These Terms, together with the policies linked on this page, form the entire agreement between you and BuyOnceBiz about your use of the website.
